Terms of Service
1. Contracting Parties & Scope
These General Terms and Conditions (“Terms”) govern the contractual relationship between LLC "DataPrime", a company registered in Ukraine (registration number: 46215708), the company operating the Lingverra service (“Lingverra” is the commercial designation under which the service is provided; it is not a separate legal entity), hereinafter “Lingverra” or “we”, and the business that registers and uses the Lingverra platform, hereinafter “Customer” or “you”.
Business use only (B2B). The Lingverra platform is intended exclusively for professional and commercial use by businesses — in particular by sworn or authorised translators and translation agencies. These Terms do not apply to consumers (natural persons acting for purposes that are predominantly outside their trade, business or profession). By registering, the Customer confirms that it acts as a business.
Together with the Data Processing Agreement (DPA), these Terms constitute the entire agreement between the parties (the “Agreement”). By accepting these Terms, the Customer also accepts the DPA. The Privacy Policy informs about our own processing of personal data (Art. 13 and 14 GDPR) and is not part of the Agreement. The Customer’s deviating terms apply only insofar as Lingverra has expressly agreed to them in written form (including electronic form).
The full provider identification is available at /legal/imprint.
2. Description of Services
Lingverra is a cloud-based Software-as-a-Service platform providing the following services for sworn or authorised translators:
- AI-assisted translation of uploaded documents (processed by our AI sub-processor hosted in the EU/EEA, as listed at /legal/subprocessors);
- highlighting of uncertain passages (confidence marking) and a two-column comparison and post-editing editor for review and correction by the Customer;
- reconstruction of layout structure and reproduction of translator’s notes (e.g. [signature], [seal], [illegible]);
- temporary storage of the source document and translation, and export of the result (PDF);
- cost estimates (quotes): estimation of the volume of a document and generation of a priced offer on the Customer's own letterhead. The text is read out of the document by text-recognition software running on our own servers; unlike the translation function, no AI model is used and no data is passed to any model provider;
- invoice drafts: preparation of a draft invoice from a saved quote, on the Customer’s letterhead and in the Customer’s name, with the items and amounts of that quote and the details supplied by the Customer, including in the structured electronic format used in the Customer’s country;
- invoices: generation of an invoice from a saved quote, on the Customer’s own letterhead and in the Customer’s name, carrying the items and amounts of that quote together with the payment details, invoice number, dates and the name and address of the recipient supplied by the Customer;
- referral of client enquiries to Customers who have opted in and stated the details of their appointment as sworn translators (Section 2a);
- management of the user profile (professional details) and of the balance.
Invoices are the Customer’s own documents. An invoice generated on the platform is issued on the Customer’s letterhead, in the Customer’s name and to the Customer’s own client; Lingverra is neither a party to it nor its issuer. The Customer assigns the invoice number itself: Lingverra operates no numbering sequence, because the Customer’s invoices must form one uninterrupted series that also covers invoices issued outside the platform. The Customer is therefore responsible for the continuity of that series, for the completeness and correctness of the mandatory particulars required in its own jurisdiction, and for its own tax treatment (in particular whether and at what rate VAT is shown). Lingverra prints the details entered by the Customer and performs no tax or legal assessment of them.
Drafts, responsibility and electronic formats. The platform prepares a draft invoice solely from the data entered by the Customer. Reviewing the draft, issuing the invoice and its content remain entirely the Customer’s responsibility; Lingverra does not verify the correctness of that data and is not the issuer of the invoice. Changes made by the Customer to a downloaded file by other means are not carried over to the machine-readable part of the invoice. Where a structured electronic invoice is used in the Customer’s country, the platform also prepares the draft in that country’s format: embedded in the PDF (Factur-X) or as a separate XML file (Peppol BIS Billing 3.0, CIUS-RO, FA(3) or FatturaPA). Before it is made available, each such file is checked against the validation rules published by the competent authority and is not made available if it fails them; this check does not replace the Customer’s own review. The Customer transmits the invoice to the relevant national platform or network (such as KSeF, SDI, SPV or Peppol) itself. For Customers established in Italy, the draft may show the INPS contribution surcharge (rivalsa INPS) at the rate set by the Customer and the withholding tax (ritenuta d’acconto) where the Customer indicates that its client applies it; whether and how these apply is determined by the Customer. The preparation of invoice drafts is not available to Customers established in Spain, Portugal, Hungary, Greece or Croatia.
Subject matter of the contract. The subject matter of the contract is the provision of access to Lingverra's software for the automated processing and preparation of text (a Software-as-a-Service offering / electronically supplied service). Lingverra does not itself provide translation, certification or sworn-translation services; the professional review, correction, translation and any certification remain the sole responsibility of the Customer. The standard page (Normseite) is used solely as a unit for calculating the fee and does not constitute the subject of the service.
No substitute for professional review. Lingverra provides an AI-assisted pre-translation as a working tool. The translation must be reviewed, corrected and taken responsibility for by the Customer. Lingverra does not produce a certified translation and gives no warranty as to the accuracy or completeness of the AI result; certification and responsibility rest solely with the Customer in its capacity as a sworn/authorised translator.
Known limitations of machine translation. The pre-translation is produced by a large language model. Such models are probabilistic: they do not “understand” a document, and the following classes of error are inherent to the technology rather than defects of this particular service. They occur even on correctly processed input, and the Customer is expected to check for them specifically:
- Content not present in the source. Large language models can, in general, produce fluent and plausible text that does not correspond to anything in the source — in the technical literature this is called “hallucination”. It is a property of the technology as a whole, not of this service in particular. Thanks to the technical solutions built into Lingverra, this effect is reduced to a minimum: doubtful places are, as a rule, not invented but highlighted for the Customer as uncertain. The residual risk cannot be excluded entirely, which is why the output must still be compared against the source rather than merely read for plausibility.
- Numbers, dates and proper names. Digits, reference numbers, dates and the transliteration of names are the most error-prone elements and must be compared against the source individually.
- Terminology and legal equivalence. An institution, qualification or legal concept of one jurisdiction may have no exact counterpart in another; the model will nevertheless supply a term, and the choice of the correct equivalent is a professional judgement reserved to the Customer.
- Layout and structure. Reconstruction of tables, multi-column layouts, stamps, marginalia and handwriting is approximate; elements may be reordered, merged or omitted.
- Source-text recognition (OCR). Where the source is a scan or a photograph, characters may be misread before translation even begins — particularly with handwriting, low-quality scans, unusual fonts or mixed scripts.
- Confidence marking is an aid, not a guarantee. The highlighting of uncertain passages helps direct attention, but an unmarked passage is not thereby verified: errors can occur in text the system did not flag.
- Variability. The same document may yield somewhat different wording on repeated processing. This is a property of the technology, not a malfunction.
This list is illustrative and not exhaustive. It is stated expressly so that the Customer knows what to look for during the review required by this Section — the review is the step at which these errors are meant to be caught, and it is the Customer's professional responsibility. Nothing in this paragraph extends or restricts the allocation of liability in Section 11.
Artificial intelligence transparency. The translation is produced with the assistance of an artificial-intelligence system. In line with the transparency requirements of Regulation (EU) 2024/1689 (AI Act), Art. 50, output produced by the AI system is clearly identified as AI-assisted within the platform. The AI system is used solely as a tool supporting the Customer and makes no autonomous decisions concerning natural persons.
The specific scope of services follows from the feature description applicable on the platform at any given time. Features marked as “beta” or “preview” are provided without warranty and without an availability target and may be changed or discontinued at any time.
2a. Referral of Client Enquiries
Where a person looking for a certified translation leaves an enquiry on our public website, we may offer it to Customers who work in the relevant language pair, have switched this function on, and have stated the country and registry number of their appointment as sworn translators. The first Customer to accept receives the enquirer's contact details and deals with that person directly.
What this is not. Lingverra is not an agency, a broker or a party to the assignment. We do not conclude the contract, do not set its price, do not receive the client's payment and take no commission or share of the fee. The assignment is concluded between the Customer and the client on their own terms. The referral function is provided as part of the platform and is not separately charged.
No guarantee of volume or quality of enquiries. We do not warrant that any enquiries will arrive, that they will be suitable, or that the enquirer will go on to place an order. We verify that the enquirer controls the e-mail address they entered (a confirmation link must be clicked before an enquiry is distributed at all), but we do not and cannot verify the accuracy of what the enquirer writes about the work required.
Obligations of the Customer who accepts an enquiry. On accepting, the Customer becomes an independent controller of the contact details received and is responsible for them on their own account — including for informing the enquirer of their own privacy practices, for keeping the details no longer than the Customer needs them, and for not using them for any other purpose, in particular not for unsolicited advertising. The Customer's own copy of the contact details is not covered by the DPA, which concerns document content processed on the Customer's instructions.
Appointment details. Participation requires the Customer to state the country and registry number of their appointment. These details are shown to the enquirer, who is told that we do not verify them and is advised to ask the translator for proof of appointment before handing over any documents. The Customer warrants that the details are correct. We remove a Customer from the referral function where we learn that the details are incorrect, in particular following a complaint.
How enquiries are offered (ranking). An enquiry is offered in rounds to Customers who meet the conditions above: first to one Customer, then to two, then to three at a time, in up to six rounds. Each offer is valid for two hours, and the enquiry goes to whoever accepts first. The order is determined by a single parameter: the number of standard pages the Customer has had translated on the platform in the 30 days before the enquiry arrived, from the highest; where the volume is equal, the order is fixed by an internal identifier. Customers with no volume in that period are not excluded but are placed at the end. Because the volume reflects the use of the paid service, the order depends indirectly on that use; a higher position cannot be bought separately.
Restriction or end of participation. If we restrict or suspend a Customer’s participation in the referral function, we state the reasons in writing no later than when the measure takes effect. If we end it altogether, we do so with at least 30 days’ notice and with reasons, unless a legal obligation requires immediate action or the Customer has repeatedly breached these Terms (Art. 4 of Regulation (EU) 2019/1150). The Customer may contest the decision in the “Support” area; we review it and reply in writing.
Access to data. On acceptance the Customer receives the enquirer’s e-mail address, the language pair, the target country, the document type and any comment. Customers who were offered the enquiry but did not accept it receive no contact details. We keep only a content-free record of the enquiry (language pair, country, document type, dates).
3. Registration & Access
Access is granted to the registered Customer who creates the user account. The Customer is solely responsible for:
- the confidentiality of its access credentials;
- all actions taken through its account;
- the accuracy, completeness and currency of the data provided at registration.
The Customer warrants that the information provided at registration is correct and undertakes to update it without undue delay in the event of changes. Lingverra may terminate the Agreement without notice if the Customer has provided false or misleading registration details.
Responsibility for the documents. With respect to the personal data contained in uploaded documents, the Customer is the controller within the meaning of the GDPR; Lingverra is a processor (see DPA). The Customer decides on its own responsibility and alone whether to upload a client’s document to the platform, and warrants that it is entitled to do so under Art. 6 and, where applicable, Art. 9 GDPR.
4. Customer Obligations & Acceptable Use
The Customer undertakes:
- to use the platform exclusively for lawful professional purposes;
- not to circumvent, disable or interfere with the platform’s security features;
- not to attempt to gain unauthorised access to other customers’ data;
- not to upload any malicious code, viruses, or unlawful or harmful content;
- not to use the platform to process data in violation of applicable law, in particular the GDPR;
- not to carry out automated bulk queries, excessive interface calls or resource abuse;
- to have a valid legal basis for processing the personal data contained in the documents;
- to maintain valid payment and billing details, including a VAT identification number where required for the reverse-charge procedure within the EU.
Accuracy of tax information. The Customer is solely responsible for the accuracy and completeness of the tax-relevant information they provide, including their country of establishment, business status and VAT identification number. Lingverra accepts this information as declared by the Customer. Where a VAT identification number is provided, Lingverra may verify it against the EU VIES register for its own records; such verification is not a condition of registration or of access to the Service, and neither its unavailability nor a negative result affects the Customer’s rights or obligations under these Terms. Where the Customer has no VAT identification number because they operate under a small-business or equivalent exemption scheme, the Customer confirms that status by express declaration, which serves as the basis on which the Service is supplied. The Customer shall update these details without undue delay if their status changes, in particular upon becoming registered for VAT; a declaration previously given remains valid for supplies made before that change. Where an invoice is issued without VAT under the reverse-charge mechanism, or because the supplier is established outside the EU, it is the Customer’s responsibility to self-account for any VAT due in their own jurisdiction. The Customer shall indemnify Lingverra against any tax, fine, interest or cost arising from incorrect, incomplete or outdated tax information they provided.
Indemnification: The Customer shall indemnify Lingverra against all claims, damages, fines and costs (including reasonable legal costs) asserted by third parties as a result of (a) the Customer’s breach of these Terms, (b) the Customer’s breach of applicable law including the GDPR, (c) the data or content uploaded by the Customer, or (d) any use of the platform not permitted by these Terms, to the extent the Customer is at fault.
Illegal content (Regulation (EU) 2022/2065, Digital Services Act). Documents are uploaded for the Customer’s own translation work and are not made available to anyone else. We do not monitor their content (Art. 8 DSA); uploaded files are only scanned automatically for malware. Anyone may notify us of content they consider illegal through the contact point stated in the Imprint, explaining why the content is considered illegal and identifying it as precisely as possible (Art. 16 DSA). We decide on notices diligently and without undue delay and inform the notifier of the decision. If we remove or disable access to content, or suspend or restrict an account, because of illegal content or a breach of these Terms, we inform the Customer of the decision and the reasons for it no later than when it takes effect (Art. 17 DSA); the Customer may contest it in the “Support” area, and recourse to the courts remains open.
5. Confidentiality
Each party undertakes to keep confidential all non-public information it receives from the other party in connection with the Agreement (“confidential information”) and not to disclose it to third parties without prior consent, unless this is required by law or vis-à-vis sub-processors bound by equivalent confidentiality obligations.
Lingverra acknowledges that all data uploaded by the Customer (in particular the documents to be translated and their content) constitute the Customer’s confidential information. Lingverra processes such data solely in accordance with the DPA and uses it for no other purpose.
These confidentiality obligations remain in force for as long as Lingverra holds the Customer’s confidential information. As the content of uploaded documents and translations is automatically and permanently deleted after the retention period (72 hours after delivery by default, see Section 9), or earlier where the Customer deletes it in its account, Lingverra no longer holds, controls or has access to that content thereafter and accordingly cannot disclose it. Confidentiality obligations regarding any other non-public information survive termination of the Agreement for as long as such information remains non-public.
6. Prices & Credit Packages
Lingverra charges on a per-page basis. The unit of measurement is the standard page (Normseite). Before translation, the number of pages is determined and a corresponding balance (standard pages) is required.
The Customer purchases the balance via prepaid packages (top-up). These are one-off purchases, not a subscription. The packages and prices per standard page applicable at any given time are shown on the platform in the “Balance” area. Larger packages have a lower price per standard page. All prices are in EUR. The VAT treatment of each transaction is described in section 7.
- When a document is uploaded, its expected volume is estimated from the text recognised on the scan, and the corresponding number of standard pages, with a safety margin, is reserved from the balance. If the balance is lower than this reserve but not lower than the expected volume without the margin, the translation may still be started, and the entire available balance is reserved. The final charge is made after completion of the translation based on the volume actually translated, rounded to one tenth of a standard page, with a minimum of one standard page per document; it never exceeds the volume reserved before the translation, and the remainder of the reservation is released immediately. If the translation fails entirely, the reservation is fully released.
- How the volume is counted. The translated volume comprises all text of the finished translation: the translated text, translated labels of form fields, descriptions of stamps, seals and signatures, the header and the footnotes. The certification statement that the platform adds for the Customer is not counted. Each non-empty fragment of text (a line, a form field or a table cell) is counted as not less than 10 characters. The characters of a table are counted with a factor depending on the number of its columns: up to four columns — 1, five to seven columns — 1.5, eight or more columns — 2.
- Cost estimates (quotes). One estimate is charged per quote, however many files it contains. Each account has a number of free estimates; once they are used up, an estimate costs a fixed number of standard pages from the balance and is only charged after the Customer has expressly agreed to that charge in the interface — never silently. Editing or re-opening a quote already produced is free. The applicable number of free estimates and the price per estimate are shown in the “Quote” area.
- An estimate is an estimate. The volume is derived from the source document and projected onto the expected translation using a standard expansion factor; the actual volume of the finished translation regularly differs from it, in either direction, because languages expand differently and layout, tables and repetitions affect the count. The estimate is therefore non-binding guidance and not a warranty of the final volume or price. Where the Customer passes an estimate on to its own client, it does so on its own account and on its own letterhead, and Lingverra is not a party to that offer. Billing for translation is always based on the volume actually translated, never on the estimate; a document of less than one standard page is billed as one standard page; the volume is counted as described above, and the final charge shall in no case exceed the volume reserved before the translation started.
- Balance is consumed on a first-in, first-out basis (pages purchased earlier are used first). Each purchase is valid for 90 days from the date of the corresponding payment. The period runs separately for each purchase, so a Customer who has bought balance on several occasions has several expiry dates; the current dates are shown in the “Balance” area of the platform. Expiry does not extinguish the amount paid. Pages of a purchase that remain unused when its period ends are not forfeited (subject to the de-minimis threshold below): Lingverra refunds the corresponding amount, at the price actually paid for those pages, to the payment card used for that purchase, without any request from the Customer. Lingverra notifies the Customer by e-mail at least 30 days before a period ends, so that the balance can still be used. The period exists for a technical reason and is stated openly: a refund is executed by reversing the original card transaction, and the period within which an acquiring bank can process such a reversal is limited. A longer validity period would leave Lingverra unable to return the money by that route. Where the amount remaining in an expired purchase is below the de-minimis threshold of two standard pages, it is not refunded, because the cost of processing a refund would exceed the amount; those pages remain on the balance and can still be used. A significant remaining paid balance on an inactive account is additionally handled as described in Section 12.1.
- Price changes are notified with at least 30 days’ prior notice. Balance already purchased retains the value applicable at the time of purchase. By purchasing a package after the change takes effect, the new price is deemed accepted.
Free trial pages. Upon registration of an account and confirmation of the email address, the Customer is granted, on a one-off basis, 5 free trial standard pages (Normseiten) to evaluate the service. The trial pages are provided free of charge and are valid for 30 days from the date they are granted; any trial pages not used within this period lapse automatically and without compensation. Trial pages are granted once per Customer and are not re-granted (including after deletion and subsequent re-registration of an account). As they are provided free of charge, trial pages have no monetary value: they are not refundable in money and are not taken into account when calculating any refund of the remaining balance.
No right of withdrawal (one-off purchases between businesses). Credit packages are one-off purchases of digital services. As the Agreement is concluded exclusively with businesses, there is no right of withdrawal, as such rights under applicable consumer-protection law are available only to consumers and not to businesses. Purchased balance is non-refundable and non-transferable after completion of the purchase, unless mandatory law provides otherwise, or Lingverra terminates the Agreement early without cause, or the Customer terminates by deleting the account while a significant unused paid balance remains, or the account becomes inactive with such a balance, or the validity period of a purchase expires while pages of it remain unused (see Sections 6, 12 and 12.1, under which that unused advance is refunded at the FIFO purchase price — on request upon deletion, and on Lingverra’s own initiative upon expiry of the validity period). The balance is an advance payment for services to come: the service is rendered when pages of the balance are used for a translation or a cost estimate. All of the refunds above are subject to the de-minimis threshold stated in Sections 6 and 12.1.
7. Payment Terms
Credit packages are charged in full at the time of purchase by payment card, through our acquiring bank; the balance is credited immediately after successful payment. If payment fails, no balance is credited. The card is entered on the acquiring bank’s own payment page — we never receive or store your card number.
Failed or duplicated payments. If a payment is taken but no balance is credited, or the same purchase is charged twice, the amount charged without a corresponding balance is refunded in full to the card used. Lingverra reconciles payments against credited balance automatically; the Customer may also report such a case in the “Support” area.
Invoices are issued electronically and available within the platform.
Currency of the price. All prices and invoices are expressed in euro (EUR, ISO 4217 code 978). This applies to every Customer, including those established in Member States or EEA countries whose national currency is not the euro.
Currency of settlement. Lingverra is established in Ukraine and its acquiring bank settles card payments exclusively in Ukrainian hryvnia (UAH). When a payment is made, the euro amount shown is converted into hryvnia at the exchange rate applied by Lingverra's payment service provider at the moment of the payment, and the hryvnia amount so received is the amount Lingverra receives and, where a refund is due, returns. The hryvnia amount actually charged, together with the rate applied, is shown in the invoice, in the payment history and in the confirmation e-mail; an indicative hryvnia amount is shown alongside the price before payment.
Conversion from the currency of the Customer's card into hryvnia at the time of payment, and from hryvnia back into that currency in the event of a refund, is carried out by the Customer's own card issuer at that issuer's rate on the respective day. Lingverra neither sets those rates nor receives any part of them, and makes no deduction of its own (see the Refund Policy).
Bank charges. Charges levied by the Customer’s own card issuer (for example a currency-conversion or cross-border fee) are borne by the Customer.
Place of supply and VAT. The place of supply of the service is determined by the location of the business Customer. Accordingly:
- for Customers established outside Ukraine, the service is supplied outside Ukraine and is not subject to Ukrainian VAT;
- where the Customer is established in the EU, the place of supply is the Member State in which the Customer is established (Art. 44 of Directive 2006/112/EC); as Lingverra is established outside the EU, any VAT due there is accounted for by the Customer under the reverse-charge procedure (Art. 196 of that Directive), whether or not the Customer has provided a VAT identification number;
- Lingverra is not registered as a VAT payer in Ukraine and charges no Ukrainian VAT, including to Customers established in Ukraine.
The applicable treatment for each transaction is shown on the corresponding invoice.
8. Availability
Lingverra aims for platform availability of 99% on a monthly average, excluding scheduled maintenance. This is an availability target, not a guaranteed service-level agreement with credits. Scheduled maintenance is announced in advance where possible.
Lingverra is not liable for unavailability due to force majeure, in particular natural disasters, war, cyber-attacks beyond reasonable defence, pandemics, infrastructure failures of third-party providers (e.g. hosting, DNS, internet backbone) or official measures. Lingverra informs affected customers as soon as reasonably possible.
The availability of the AI translation may also depend on the availability of the AI sub-processor listed at /legal/subprocessors.
9. Data, Data Protection & Sub-processors
The processing of personal data on the Customer’s behalf is governed by the Data Processing Agreement (DPA), which forms part of this Agreement; our own processing as controller is described in the Privacy Policy.
The processing and storage take place on servers within the EU/EEA. To provide the translation, the document content is processed by our AI sub-processor (as listed at /legal/subprocessors) within the EEA; the document content does not leave the EEA (see DPA Section 12). The current list of sub-processors is available at /legal/subprocessors; the Customer is informed of material changes and may object in accordance with the DPA.
The content of the source document and the translation is automatically deleted after expiry of the retention period stated in the Privacy Policy. The Customer is responsible for exporting any required results in good time.
9a. Suspension of Access
Alongside termination (Section 12), Lingverra may temporarily suspend access to the account — a lesser measure, used where ending the agreement would be disproportionate. Grounds are limited to:
- a concrete suspicion that the account has been compromised or is being used by someone other than the Customer;
- use that endangers the platform or other customers — automated bulk requests, attempts to circumvent limits, upload of malicious files;
- a legal obligation or an order from a competent authority;
- a payment that has been reversed or charged back after the balance was credited.
We inform the Customer of a suspension and of its reason without undue delay, unless informing would defeat the purpose or is prohibited by law. Where the cause can be remedied, the Customer is given the opportunity to remedy it and access is restored once it has been. Suspension does not forfeit purchased balance: it remains credited to the account, and if the agreement is subsequently ended the rules in Sections 12 and 12.1 apply unchanged. Suspension is not a penalty and does not affect any claim either party may have.
10. Intellectual Property
The Lingverra platform, including all software, designs and documentation, is protected by intellectual property rights and is not the property of the Customer. The Customer is granted, for the duration of use, a non-exclusive, non-transferable, revocable right of use exclusively for its internal professional purposes.
The Customer retains all rights to the uploaded data and documents and to the reviewed translation. Lingverra makes no claim of ownership over the Customer’s data.
The Customer will not reverse engineer, decompile or disassemble the platform, nor attempt to derive its source code, prompts or models, except to the extent such acts are expressly permitted by mandatory law (in particular Art. 5 and 6 of Directive 2009/24/EC on the legal protection of computer programs). The Customer will likewise not use the platform to build a competing service, nor extract its content or output systematically or in bulk for that purpose, nor circumvent technical limits on volume or rate of use.
11. Limitation of Liability
11.1 General limitation. Subject to Sections 11.2 and 11.3, Lingverra’s total liability for all claims arising out of or in connection with this Agreement is limited to the sum of the fees paid by the Customer in the 12 months preceding the event giving rise to the damage. This limitation does not affect the statutory liability of a processor towards data subjects under Art. 82 GDPR, which is governed by the DPA and cannot be limited by contract.
11.2 Scope of the limitation. The limitation of liability under Section 11.1 applies to damage caused by ordinary negligence. It does not apply, and liability is not limited, in cases of intent or gross negligence, or where mandatory provisions of the applicable law do not permit such limitation.
11.3 Unlimited liability. Lingverra’s liability remains unaffected for:
- damages arising from injury to life, body or health;
- intent and fraudulent misrepresentation;
- gross negligence;
- any further liability that cannot be excluded or limited under mandatory law.
11.4 Exclusions. Subject to Sections 11.2 and 11.3, Lingverra is not liable for indirect or consequential damages, lost profit, data loss resulting from the Customer’s actions, or damages resulting from force majeure pursuant to Section 8.
No liability after deletion of content. The content of source documents and translations is stored only temporarily and is automatically and permanently deleted after the retention period (72 hours after delivery by default, see Section 9), or earlier where the Customer deletes it in its account. After deletion, Lingverra no longer holds, controls or has access to that content and acts neither as controller nor as processor in respect of it. Lingverra is therefore not liable for any loss, unavailability or non-recoverability of content after the retention period or after the Customer has deleted it, and the Customer is solely responsible for exporting any results it wishes to keep before that period expires.
No liability for the translation result. Lingverra is not liable for errors, omissions or inaccuracies of the AI translation result. Review, correction and certification rest solely with the Customer (see Section 2).
Severability: Should any provision of this Section be invalid or unenforceable, the remaining provisions of this Section and of this Agreement remain effective.
12. Term & Termination
The Agreement enters into force upon acceptance of these Terms and continues indefinitely until terminated. There are no recurring fees; the Customer acquires services exclusively by purchasing credit packages.
- Termination by the Customer: at any time by deleting the account in the settings. A significant unused paid balance is not simply forfeited: the Customer may request a refund of the remaining paid balance, which is refunded at the price at which the respective pages were purchased (first-in, first-out). Free trial pages are not included and are not refundable (see Section 12.1).
- Ordinary termination by Lingverra: with 30 days’ notice in written form (including electronic form). If the Customer still has unused balance and Lingverra terminates the Agreement without cause, the unused paid portion is refunded at the price at which the respective pages were purchased (first-in, first-out).
- Extraordinary termination by Lingverra: without notice in the event of a material breach of these Terms or where continued provision of the service would violate applicable law. In the case of a justified suspicion of unlawful use, Lingverra first grants a period of at least 7 days for remedy, unless immediate action is necessary to avert damage or to comply with the law.
12.1 Deletion of the Account & Data
Data export is the Customer’s responsibility. The Customer must export all data it wishes to retain before deletion or before expiry of the retention period. The platform provides self-service export functions for this purpose.
- Deletion on request: The Customer may request deletion of the account at any time via the account settings. Deletion covers all account data, documents and translations, and is final and irreversible. If the account holds a significant paid balance at that time, the account is not closed immediately: since Lingverra still owes the Customer that prepaid, unused amount, the Customer is asked to choose — (a) request a refund of the unused paid balance, refunded at the FIFO purchase price to the account used for payment, after which the account is anonymised; or (b) expressly waive the remaining balance, in which case it is set to zero and the account is anonymised. While a refund request is pending, further top-ups are disabled and the deletion cannot be reversed. Trial and gift pages have no monetary value and are not refunded; where the remaining balance consists only of such pages, it lapses on deletion without refund. A paid balance below the significance threshold of two standard pages is not refunded and lapses on deletion, because the cost of processing a refund would exceed the amount; the balance is shown at all times in the “Balance” area and can be used before the account is deleted.
- Abandoned accounts: An account is deemed abandoned if the Customer does not log in for 6 (six) consecutive months. Lingverra notifies the Customer by e-mail to the address on file at least 30 days before closure.
- Abandoned accounts without a significant balance: If the account has no significant paid balance, Lingverra may close and delete it after the notice period, and any remaining content is permanently deleted. A minor residual paid balance below the de-minimis threshold of two standard pages is not refunded, because the cost of processing a refund would exceed the amount; it lapses when the account is closed.
- Abandoned accounts with a paid balance: If the account still holds a significant paid balance, the account is not immediately deleted, because Lingverra continues to owe the Customer that prepaid amount. Lingverra retains the account and periodically reminds the Customer (approximately every two months) to use or reclaim the balance. The Customer may at any time sign in to use the balance, or reply to request a refund of the remaining paid balance (refunded at the purchase price, first-in, first-out). Lingverra keeps the personal data associated with the account only for as long as this monetary obligation exists (Art. 6(1)(b) GDPR). In the ordinary course the balance is returned earlier and irrespective of inactivity, upon expiry of the validity period of each purchase (Section 6). A paid balance not covered by that mechanism is refunded on request at any time, at the purchase price (first-in, first-out); Lingverra does not invoke the expiry of the limitation period against that claim. Where a refund to the original card cannot be executed (in particular, the card is no longer valid or the acquirer’s refund window has elapsed), the amount remains at the Customer’s disposal and is refunded by another means on request. Once the balance has been used, refunded or expressly waived, the account is anonymised and, in accordance with the principle of storage limitation (Art. 5(1)(e) GDPR), the personal data are deleted.
- No liability for non-exported data: If the Customer does not export its data before deletion, Lingverra bears no responsibility for the resulting loss. As a processor, Lingverra is obliged to delete the data after the end of processing (Art. 28(3)(g) GDPR).
A minimal record of each deletion (trigger, date, confirmations) is retained; this contains no personal data of the Customer’s data subjects.
12.2 Switching to Another Provider
In accordance with Chapter VI of Regulation (EU) 2023/2854 (Data Act), the Customer may at any time terminate the Agreement in order to switch to another provider or to its own systems. No notice period applies beyond deleting the account, and no switching or data-export charge is made. For 30 days after a switching request made in the “Support” area, Lingverra keeps the account available for export; during that time the Customer can export through the platform’s self-service functions all exportable data it has provided or that the Service has generated for it — translations and source documents still within their retention period, cost estimates, invoices, and the account data in a structured, commonly used and machine-readable format. Documents and translations are in any event kept only for the retention period stated in the Privacy Policy. Lingverra’s own operational data (such as security logs) and its software are not exportable data. When the export period ends, the data are erased as described in Section 12.1; on request, Lingverra confirms the erasure in writing.
13. Changes to These Terms
Lingverra may amend these Terms. Material changes are notified to the Customer at least 30 days before they take effect, by e-mail or via a notice in the platform. Continued use after the changes take effect constitutes acceptance. If the Customer does not accept the amended Terms, it may terminate the Agreement before they take effect without disadvantage.
14. Notices & Assignment
Legally relevant notices under this Agreement are made by e-mail to the address on file or via a notice in the platform. Notices to Lingverra are to be addressed to support@lingverra.com.
The Customer may not assign or transfer rights or obligations under this Agreement without Lingverra’s prior consent in written form (including electronic form). Lingverra may transfer this Agreement to a legal successor in connection with a merger, acquisition or sale of substantial assets, with 30 days’ prior notice to the Customer.
15. Governing Law & Jurisdiction
This Agreement is governed by the law of the country in which LLC "DataPrime" is registered (Ukraine), excluding its conflict-of-law rules. The courts of that country have jurisdiction over disputes, unless mandatory provisions at the Customer’s location provide otherwise.
As Lingverra serves businesses exclusively (B2B), the EU Online Dispute Resolution (ODR) platform and consumer dispute-resolution procedures do not apply.
